Our Commercial Services

Winning and managing contracts

The viability of your business depends on the success of your contractual relationships, throughout all phases of the Commercial Process:- from quoting or tendering for the business through to contract completion, we can assist in ensuring the business is conducted profitably and securely.

Tendering and Support

In both the public and private sector, tendering is increasingly the only way to win business. We can bring our expertise to bear in, for example:-

  • Conducting legal/contractual risk assessment of bid or contract documentation
  • Advising on terms and conditions and other aspects of the tender with legal or commercial implications
  • Ensuring the tender response is suitably qualified with contract dependencies
  • Identifying unnecessary burdensome conditions in the tender documentation and advising how to deal with this without being judged non-compliant
  • Identifying when a non-disclosure agreement is required and drafting appropriate documentation
  • Drafting and implementing teaming agreements for collaborative bids
  • Securing advantageous terms for doing business

Negotiating Contracts

More often than not your business may be ‘outgunned’ by the teams of specialist staff deployed by the customer organisation. We can help redress the balance by:-

  • Conducting or supporting negotiations
  • Drafting contractual documents
  • Avoiding unnecessary risk in the contractual arrangements
  • Ensuring key contractual provisions are included to avoid future problems and provide a secure basis for any litigation, arbitration or mediation
  • Ensuring the proper flow-down of contractual provisions where subcontracting is involved

Contract Management

Having won the contract, the real challenge begins. We can help the smooth running of contracts, safeguard cash flow and optimise profitability by:-

  • ‘Demystification’ of contract terms and promulgation within the organisation
  • Ensuring customer’s payment criteria and formalities are complied with
  • Drafting/advising on sensitive correspondence with the customer
  • Answering contractual queries from technical personnel
  • Avoid ‘specification creep’ by identifying extra-to-contract customer requests, negotiating price and any other required contract changes
  • Efficient management of subcontractors and consultants
  • Trouble-shooting if problems arise

Training and Development

Many businesses wish to be independent for their commercial dealings and not rely on outside expertise. This is possible given a suitably comprehensive learning experience. We can provide the requisite breadth and depth of learning, leaving a legacy of skills and knowledge with your key personnel by, for example:-

  • Teaching practical, hands-on contract law
  • Training or mentoring of personnel in contract administration, including how to employ commercially-astute project correspondence
  • Assessing existing commercial practices and procedures, recommending and implementing improvements where appropriate

Interim Management

‘Stuff happens’ and there will be times when the business needs the support of senior management level expertise, but not on a full time or long term basis. Examples of scenarios where we can assist could include:-

  • Part-time general Commercial Director duties
  • Review and/or management of outsourced legal services
  • Hands-on assistance and/or leadership during tendering and contract negotiation, including provision of know-how legacy;
  • Temporary engagement to establish optimum commercial procedures and processes, together with training and mentoring of key staff;
  • Assistance during periods of key personnel unavailability, unforeseen departures or periods of peak demand

Why Us?

How we work with you

Flexibility is the key. The following business arrangements are examples of how we can do business together:-

‘On board’ – an initial fact finding and familiarisation meeting, ‘money laundering’ formalities completed and an agreement entered into. Thereafter, an unlimited telephone helpline service will be provided in return for a monthly retainer.

‘As required’ –  no pre-existing agreement, no helpline, no retainer, services sought as and when a need arises – and fixed price agreed.

‘Team member ‘ – pre-arranged, regular supply of certain number of hours per week/month, which can be at client’s premises.

‘Pre-purchase block’ – block of discounted time purchased, used as required.

Our Approach

We strive to:

  • offer a tailored service by applying real life practical experience gained in industry
  • provide a value for money, timely, appropriate and personal service
  • build a long term relationship with the client, to provide appropriate and effective advice as the client’s business grows.
  • place an emphasis on face to face service and understanding of the client’s business

To underline our interest in the long term business relationship with our clients we offer regular legal/commercial reviews or ‘health checks’  free of charge.
