Collaboration

…two or more parties working together to achieve a common goal which would be difficult to achieve individually.
This is of the many possible definitions of Collaboration.

Of course collaboration in some form amongst businesses is common, particularly amongst  larger organisations. But as a strategy for growth and other commercial benefit, it is much under-used by most businesses.

How can we help? We believe the key concepts for successful business collaboration are Relationships and Structure.
Collaboration, even more perhaps than other aspects of doing business – is all about relationships. But if the relationship is sound, there then still needs to be some sort of structure to support the relationship in order to actually use the collaboration effectively.

Teaming Agreements

Normally used in a tendering scenario, essentially a Teaming Agreement is a written record of how the parties are going to work together to achieve the goal which would have been beyond them individually, ie the goal of winning the tender.

Among the benefits of having a teaming agreement – it really makes the parties think about all the issues at an early stage.

Co-operative Consortia

Two or more businesses (or other legal entities) can form a co-operative consortium. Taking the legal form of a company limited by guarantee, this structure permits the formation of a formal legal entity with the flexibility to allow member businesses to retain their own brands, independence and control. Members can be limited companies, partnerships or individuals (or indeed virtually any other form of entity).

JV’s (Joint Ventures)

There is no distinct legal form for a joint venture, so each joint venture relationship can have the legal structure which is best suited to its own circumstances and specific purpose. The most common forms are:

  • Company Limited by shares
  • ‘Traditional’ Partnership
  • LLP
  • Contractual only

We can help with putting together the necessary documentation for any of the above. Each has its own particular advantages and disadvantages – what is appropriate will depend on the purpose of the JV and the objectives and characteristic of the JV members.

‘On board’ – an initial fact finding and familiarisation meeting, ‘money laundering’ formalities completed and an agreement entered into. Thereafter, an unlimited telephone helpline service will be provided in return for a monthly retainer.

‘As required’ –  no pre-existing agreement, no helpline, no retainer, services sought as and when a need arises – and fixed price agreed.

‘Team member ‘ – pre-arranged, regular supply of certain number of hours per week/month, which can be at client’s premises.

‘Pre-purchase block’ – block of discounted time purchased, used as required.
